Terms of Service — Ashford Local

1. Agreement

These Terms of Service (“Terms”) govern your use of the Ashford Local website at https://ashfordlocal.com, any subdomain of ashfordlocal.com (including preview subdomains), and any web property we operate (collectively, the “Sites”). By accessing or using the Sites, you agree to these Terms.

The Sites are operated by GeeJay Enterprises LLC, a Florida limited liability company, doing business as “Ashford Local” (“Ashford Local,” “we,” “us,” or “our”).

If you purchase a website from us, your use of our Services is also governed by a Master Services Agreement (“MSA”). In the event of any conflict between these Terms and the MSA, the MSA governs.

2. Who May Use the Sites

You may use the Sites if you are at least 18 years old and legally able to enter into a binding contract. By using the Sites, you represent that you meet these requirements.

3. Preview Sites

Ashford Local generates preview websites for local trades businesses and displays them at preview subdomains of ashfordlocal.com (for example, acme-plumbing.preview.ashfordlocal.com). A preview site is a proposal, not a live business website:

The preview site uses publicly-available information about the business (name, address, service area, reviews) that Ashford Local has collected from Google Business Profile or similar sources.
The business whose preview is displayed has not necessarily engaged Ashford Local or agreed to be a customer. A banner at the top of each preview identifies it as a preview and links to a claim page where the business can purchase the site.
Preview sites are not intended to serve as the official website of the business displayed; end users should contact the business directly using the phone number shown to verify information.

If you are a business owner who received a preview and would like it removed without purchasing, email hello@ashfordlocal.com with the business name and we will take the preview down within one (1) business day.

4. Acceptable Use

You may not use the Sites to:

Violate any law or regulation
Infringe the intellectual property rights or other rights of any third party
Upload or transmit any virus, malware, or other harmful code
Attempt to gain unauthorized access to any account, server, or system associated with the Sites
Interfere with or disrupt the Sites or related infrastructure
Automate access to the Sites (including scraping, crawling, or reverse-engineering) without our prior written consent
Harass, threaten, or defame any person
Misrepresent your affiliation with any person or entity

5. Intellectual Property

The Sites, including all content, software, design, and functionality, are owned by Ashford Local or its licensors and are protected by United States and international intellectual property laws. Except as expressly permitted in these Terms or the MSA, you may not reproduce, modify, distribute, or create derivative works of any part of the Sites without our prior written consent.

The Ashford Local name and logo are trademarks of GeeJay Enterprises LLC. You may not use them without our prior written consent, except for bona fide nominative use (for example, to truthfully describe our services in a review or news article).

6. Customer Sites

If you engage Ashford Local to build a website for your business, your use of the resulting Site is governed by your MSA with Ashford Local. Once a Customer Site is deployed to the Customer’s production domain, that domain’s privacy practices and terms of use are the responsibility of the Customer — not Ashford Local. Ashford Local recommends every customer publish their own privacy policy addressing collection of lead information through the Site’s contact form.

7. Third-Party Links and Services

The Sites may contain links to third-party websites or services. Ashford Local does not control those third parties and is not responsible for their content, terms, or practices.

8. Disclaimer of Warranties

The Sites are provided “as is” and “as available,” without warranty of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Ashford Local does not warrant that the Sites will be uninterrupted or error-free or that the information displayed is accurate or up-to-date.

9. Limitation of Liability

To the maximum extent permitted by law, Ashford Local is not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Sites, even if Ashford Local has been advised of the possibility of such damages. If liability cannot be excluded under applicable law, Ashford Local’s total liability for all claims arising out of or relating to the Sites is limited to one hundred U.S. dollars ($100.00). (For claims arising under an MSA, the liability limitations in that MSA apply instead of this Section.)

10. Indemnification

You agree to indemnify and hold harmless Ashford Local and its officers, employees, agents, and affiliates from any claim, loss, or expense (including reasonable attorneys’ fees) arising out of your violation of these Terms or your misuse of the Sites.

11. Termination

We may terminate or restrict your access to the Sites at any time, without notice, if we believe in good faith that you have violated these Terms. Upon termination, the sections of these Terms that by their nature should survive — including Sections 5 (IP), 8 (Disclaimer), 9 (Limitation of Liability), 10 (Indemnification), and 12 (Governing Law) — will survive.

12. Governing Law; Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Sites will be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and you consent to the personal jurisdiction of those courts.

13. Changes

We may update these Terms from time to time. If we make material changes, we will update the “Last Updated” date above. Continued use of the Sites after a change constitutes acceptance of the updated Terms.

14. Entire Agreement

These Terms, together with the Privacy Policy and, where applicable, the MSA, constitute the entire agreement between you and Ashford Local regarding your use of the Sites.
